Terms of Service

1. Acceptance of Terms
By accessing or using the PropertyBridge AI platform (“Service”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity.
2. Nature of Service
PropertyBridge AI (“we,” “us,” or “our”) provides a software-as-a-service platform to assist property owners and managers in organizing and managing rental property operations. PropertyBridge AI is not a licensed property manager, real estate broker, attorney, financial advisor, insurance agent, contractor, or any other licensed professional. Nothing on this platform constitutes professional advice of any kind, and use of this platform does not create any professional-client, fiduciary, or agency relationship between PropertyBridge AI and any user.
The Service is a tool that assists you in managing your own property operations. All decisions regarding your properties, tenants, vendors, and compliance with applicable law remain solely your responsibility.
3. Account Security & User Responsibilities
You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activity that occurs under your account; (c) the accuracy and completeness of information you provide; and (d) compliance with all applicable federal, state, and local laws, including landlord-tenant laws, fair housing laws, and payment regulations in your jurisdiction.
You must notify us immediately at hello@propertybridge.ai if you become aware of any unauthorized use of your account. We are not liable for any loss arising from unauthorized access to your account.
4. Emergency Situations
PropertyBridge AI is not a substitute for emergency services. For fire, flooding, gas leaks, structural collapse, electrical hazards, or any situation posing a risk to life or safety, contact emergency services (911) immediately. Do not rely on in-app notifications, AI assessments, or platform features for emergencies.
5. AI-Generated Content Disclaimer
PropertyBridge AI uses artificial intelligence, including third-party AI services (Anthropic Claude API for text; Google Gemini API for image/video analysis), to generate content including but not limited to: maintenance assessments, lease summaries, Q&A responses, vendor suggestions, cost estimates, lease drafts, legal notices, screening summaries, condition reports, predictive scores, and forecasts.
All AI-generated content:
- Is provided for informational and convenience purposes only
- May contain errors, omissions, hallucinations, or inaccuracies
- May not reflect current laws or regulations in your jurisdiction
- May not be suitable for your specific circumstances
- Does not constitute legal, financial, medical, engineering, or professional advice
- Must be reviewed by a qualified professional before use or reliance
- Predictive scores and forecasts are statistical estimates and must not be used as the sole basis for legal, financial, or housing decisions
Data processing: Content you submit (text, images, video) may be processed by Anthropic and Google for AI feature delivery. These providers are contractually prohibited from using your data to train their models. See our Privacy Policy for details on data processors.
PropertyBridge AI expressly disclaims all liability for any damages arising from your use of or reliance on AI-generated content.
6. AI Lease Generation, Legal Notices & E-Signatures (Premium)
Premium tier users may access AI-generated lease documents, rent increase notices, notice-to-vacate letters, lease renewal offers, tenant screening summaries, and electronic signature capabilities. By using these features, you acknowledge:
- AI-generated leases and legal notices have not been reviewed by a licensed attorney and may not reflect current state or local law in your jurisdiction. You must review all generated documents with a licensed real estate attorney before use.
- Notice periods, required language, delivery methods, and legal requirements vary significantly by state and locality. An incorrect notice may be legally invalid.
- Tenant screening summaries are not consumer reports regulated by the Fair Credit Reporting Act (FCRA). Do not use screening summaries as the sole basis for housing decisions.
- Electronic signatures are executed via DocuSeal under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state law (UETA). By using e-signature features, you consent to electronic signatures and electronic records for applicable transactions.
- You are solely responsible for ensuring that any document generated, reviewed, or signed through the platform complies with all applicable laws in your jurisdiction.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPERTYBRIDGE AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AND AFFILIATES (“PROPERTYBRIDGE PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PROPERTYBRIDGE AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES BUT IS NOT LIMITED TO:
- Loss of rent, revenue, or business opportunities
- Property damage or diminished property value
- Personal injury arising from maintenance assessments or vendor work
- Legal fees or costs arising from lease disputes, evictions, or legal proceedings
- Losses arising from payment processing errors or failures
- Losses arising from reliance on AI-generated content of any kind
- Unauthorized access to or alteration of your data
- Notification delivery, non-delivery, or delay (email, SMS, or in-app)
- Vendor work quality, timeliness, cost, or safety
- Disputes arising from ownership transfers or role changes
- AI-generated lease or notice content that is incorrect, incomplete, or non-compliant
- Errors in predictive models, risk scores, or financial projections
IN NO EVENT SHALL THE PROPERTYBRIDGE PARTIES’ TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE ACTUALLY PAID TO PROPERTYBRIDGE AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY.
8. Indemnification
You agree to indemnify, defend, and hold harmless the PropertyBridge Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or connected with: (a) your use of or access to the Service; (b) your violation of these Terms or any applicable law or regulation; (c) your rental management activities; (d) disputes between you and your tenants, vendors, or any third party; (e) your use of AI-generated content without appropriate professional review; (f) any fees, including NSF fees, late fees, or processing fees, you impose on or collect from tenants; (g) any eviction, legal proceeding, or legal notice you initiate or send; (h) your failure to comply with applicable rent control, fair housing, or tenant protection laws; (i) your use of AI-generated leases, notices, or screening summaries; or (j) content you submit to the platform.
9. Payment Terms
Subscription Fees
You authorize PropertyBridge AI to charge your payment method for the subscription fees applicable to your selected plan and unit count. Fees are billed in advance on a monthly or annual basis. Subscription fees are non-refundable except as required by applicable law. Annual subscriptions, once charged, are non-refundable; if you cancel, access continues until the end of the pre-paid billing period.
ACH Rent Collection
PropertyBridge AI facilitates rent collection between landlords and tenants via ACH bank debit through Stripe Connect. Funds flow directly to the landlord’s connected Stripe account. PropertyBridge AI is not a party to the rental agreement and is not responsible for payment failures, landlord-tenant disputes, or insufficient funds. PropertyBridge AI does not hold, pool, transmit, or commingle tenant funds at any time. All money movement is handled by Stripe.
NSF Fees
NSF fees are set by the landlord per the terms of the rental agreement. PropertyBridge AI may facilitate collection as a convenience service. No separate platform NSF surcharge is imposed by PropertyBridge AI. NSF fees are governed by applicable state law — landlords are solely responsible for compliance with state NSF fee caps and requirements.
Late Fees
Late fees are set and owned entirely by the landlord. PropertyBridge AI automates collection as a convenience only and takes no portion. Landlords are solely responsible for ensuring late fees comply with applicable state and local law, including any statutory caps.
10. Tenant Portal Restrictions
PropertyBridge AI may restrict tenant portal functionality when a tenant has an outstanding unpaid balance, as configured by the landlord. Notwithstanding any restriction, tenants may always: (a) view their outstanding balance; (b) submit emergency maintenance requests; and (c) view the status of existing maintenance requests.
PropertyBridge AI is not responsible for disputes between landlords and tenants related to balance restrictions. Landlords are solely responsible for ensuring portal restrictions comply with applicable law.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PROPERTYBRIDGE AI SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PROPERTYBRIDGE AI DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, LEGALLY COMPLIANT, OR SUITABLE FOR ANY PURPOSE; (C) RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS OR DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM PROPERTYBRIDGE AI SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12. Vendor Automation & Independent Contractors
PropertyBridge AI offers an optional AI-powered vendor dispatch feature that automatically matches maintenance requests with third-party service providers (“Vendors”). By enabling this feature, you acknowledge and agree that:
- Vendors are independent contractors, not employees, agents, or representatives of PropertyBridge AI or the property owner.
- PropertyBridge AI does not vet, license, insure, bond, or guarantee the quality, safety, timeliness, or legality of any Vendor’s work.
- You are solely responsible for verifying Vendor credentials, insurance, licensing, and bonding required by your jurisdiction before authorizing any work.
- PropertyBridge AI is not a party to any agreement between you and a Vendor. All disputes regarding scope, quality, payment, or liability must be resolved directly between you and the Vendor.
- PropertyBridge AI is not liable for property damage, personal injury, death, or any other loss arising from Vendor work, regardless of whether the Vendor was recommended or dispatched by the platform.
- AI-generated cost estimates and vendor recommendations are informational only and should not be the sole basis for approval decisions.
Vendor SMS Communications
Vendors may receive SMS messages regarding job assignments, scheduling, and status updates. By providing a phone number during onboarding, Vendors consent to receive these messages. Vendors may opt out at any time by replying STOP. Message and data rates may apply.
13. SMS Communications (TCPA Compliance)
By providing your phone number and opting in to SMS notifications, you consent to receive text messages from PropertyBridge AI related to your rental account, including maintenance updates, payment reminders, and account notifications.
- Consent is not a condition of purchasing or using the Service
- Message frequency varies based on account activity
- Message and data rates may apply
- Reply STOP to opt out of non-essential messages at any time
- Essential account security and emergency notifications cannot be opted out
- SMS consent is per-organization — consent to one landlord does not authorize communications from another
14. Electronic Communications Consent
By using the Service, you consent to receive electronic communications from PropertyBridge AI, including emails, in-app notifications, and SMS messages (if opted in). You agree that all notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.
15. Fair Housing Compliance
Federal law prohibits discrimination in housing based on race, color, national origin, religion, sex, familial status, or disability. Many states and localities add additional protected classes including sexual orientation, gender identity, marital status, source of income, and immigration status. All users are solely responsible for compliance with all applicable federal, state, and local fair housing laws.
PropertyBridge AI will not generate content that discriminates against any protected class and may refuse or modify requests that appear discriminatory. Platform features such as predictive risk scores and AI screening summaries must not be used as the sole basis for housing decisions, and users must ensure their screening and decision processes comply with applicable fair housing regulations.
16. Intellectual Property
The Service, including all software, design, text, graphics, and trademarks, is owned by PropertyBridge AI or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
You retain ownership of all data and content you upload to the platform. By uploading content, you grant PropertyBridge AI a limited license to process, store, and display that content as necessary to provide the Service (including transmitting to AI processors for feature delivery).
17. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to any part of the Service or its systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to discriminate against tenants, applicants, or any person
- Transmit malicious code, viruses, or interfere with platform operations
- Use automated systems (bots, scrapers) to access the Service without authorization
- Resell, sublicense, or redistribute the Service to third parties
- Impersonate any person or entity or misrepresent your affiliation
18. Termination & Suspension
We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. Grounds for immediate termination without notice include: violation of these Terms, illegal activity, non-payment, abuse of the platform, or actions that threaten the security or integrity of the Service.
Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your data after a reasonable retention period, subject to our Privacy Policy and applicable law; (c) provisions of these Terms that by their nature should survive termination shall survive, including Sections 7, 8, 11, 12, 16, 20, and 21.
You may terminate your account at any time through your account settings. Termination does not entitle you to a refund of any pre-paid fees.
19. Organization Ownership Transfer
When an Org Owner transfers ownership, the new Owner assumes full billing and compliance responsibility as of the transfer date. The previous Owner is downgraded to Manager role. The transfer does not modify subscription terms or billing cycles. Both parties are notified by email and all transfers are logged in the activity trail.
20. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts.
Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator, and the arbitrator’s decision shall be final and binding.
CLASS ACTION WAIVER: YOU AND PROPERTYBRIDGE AI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO A JURY TRIAL.
Exceptions: Claims that qualify for small claims court in your jurisdiction, and requests for injunctive or equitable relief to protect intellectual property rights, are exempt from this arbitration requirement.
21. Terms Acceptance & Updates
All users must affirmatively accept the current Terms of Service and Privacy Policy before using the platform. Acceptance is recorded with your user ID, document version, timestamp, IP address, and browser user-agent information.
We may update these Terms from time to time. When Terms or Privacy Policy are materially updated, we will notify you via email and/or in-app notice, and existing users must accept the updated version before continuing to use the platform. Users who do not accept the updated Terms cannot continue to use the Service; however, their data is not deleted solely due to non-acceptance and remains subject to our Privacy Policy.
Acceptance records are retained for the duration of your account and at least three (3) years thereafter, unless a longer retention period is required by applicable law.
22. Third-Party Services
The Service integrates with third-party services including Stripe (payments), Clerk (authentication), Anthropic (AI text), Google (AI media analysis), Twilio (SMS), Resend (email), DocuSeal (e-signatures), and RentCast (market data). Your use of these third-party services is subject to their respective terms of service and privacy policies. PropertyBridge AI is not responsible for the availability, accuracy, or actions of third-party service providers.
23. Force Majeure
PropertyBridge AI shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, epidemics, war, terrorism, riots, government actions, power failures, internet disruptions, third-party service outages (including Stripe, Clerk, or cloud infrastructure providers), or cyberattacks.
24. General Provisions
Severability: If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. All other provisions shall remain in full force and effect.
Entire Agreement: These Terms, together with our Privacy Policy and any additional terms agreed to when activating specific features, constitute the entire agreement between you and PropertyBridge AI regarding your use of the Service, and supersede all prior agreements, communications, and understandings.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision shall be effective only if in writing and signed by PropertyBridge AI.
Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. PropertyBridge AI may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Notices: We may provide notices to you via email to the address associated with your account, in-app notification, or by posting on the Service. You are responsible for keeping your contact information current.
